Terms of Service服务条款

These Terms of Service (“Terms”) govern your access to and use of the SayVeda website at https://sayveda.com and any related products, features, and services we operate (the “Service”).

By creating an account or otherwise using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • “We”, “us”, “SayVeda” means the operator of the Service.
  • “You” means the individual using the Service under a personal account.
  • “Content” means any text, audio, video, image, or link you submit to the Service.
  • “Session credit” is a one-time entitlement to generate one scenario vocabulary plan and its accompanying video-shadowing practice.

2. Eligibility

You must be at least 13 years old (or 16 where the GDPR applies) to use the Service. By using the Service you represent that you meet this requirement and that you are not barred from using the Service under the laws of the country from which you access it.

3. Accounts and security

You may sign in with Google or with your email address plus a one-time code we send to that address. You are responsible for maintaining the security of your account and for every activity that occurs under it. Notify us at admin@sayveda.com immediately if you suspect unauthorized access.

You may delete your account at any time from the account page. Deletion removes your credit ledger, scenarios, articles, and practice recordings within 7 days and revokes every active session.

4. Payments and taxes

The Service is offered on a pay-per-session basis. One session credit currently costs USD $5 and includes one AI-generated scenario vocabulary plan plus the associated video-shadowing practice for the same scenario. Prices, taxes, and any local currency conversion are shown on the Paddle checkout screen before you confirm the purchase.

Payments are processed by Paddle.com Market Ltd. as Merchant of Record. Paddle is the seller of record on your invoice, collects applicable sales tax / VAT / GST, and is responsible for tax remittance. Purchasing constitutes acceptance of Paddle's Buyer Terms.

Refunds are handled under our Refund Policy.

5. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or third-party right;
  • Upload Content you do not have the right to submit, including copyrighted works, non-public personal information about others, or malware;
  • Attempt to reverse engineer, decompile, or extract the source code of the Service beyond what applicable law allows;
  • Interfere with, overload, or bypass rate limits, authentication, or security measures of the Service;
  • Scrape, mirror, or mass-download Service pages or API responses;
  • Use the Service to generate content that is illegal, defamatory, sexually explicit involving minors, or that harasses another person;
  • Resell, sublicense, or make the Service available to third parties without our written permission.

We may suspend or terminate access if we reasonably determine you have violated these rules.

6. Intellectual property

The Service, including its code, design, brand, and generated output templates, is owned by SayVeda and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal language-learning purposes only.

You retain ownership of your Content. By submitting Content you grant SayVeda a worldwide, royalty-free license to process, store, transmit, and display it solely to provide the Service to you (for example, sending your audio to Whisper for transcription or sending your scenario description to Kimi for vocabulary generation).

7. Third-party services and generated output

The Service relies on third-party APIs (Google, Paddle, Resend, Moonshot Kimi, OpenAI / Groq Whisper, AWS). Their availability and behavior are outside our control. Generated output — vocabulary lists, transcripts, scoring — is provided as an educational aid; it may contain errors and should not be relied on for medical, legal, financial, safety, or certification purposes.

8. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content is accurate or reliable.

9. Limitation of liability

To the maximum extent permitted by law, SayVeda and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of your use of the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless SayVeda from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your Content, or your misuse of the Service.

11. Termination

You may stop using the Service at any time and delete your account from the account page. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination will do so (including Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Governing law).

12. Changes to these Terms

We may update these Terms from time to time. Substantive changes will be reflected in the “Effective” date at the top of this page and, where required, notified to you by email. Continued use of the Service after a change constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of Delaware, United States, excluding its conflict-of-law rules. You and SayVeda agree to submit to the exclusive jurisdiction of the courts located in Delaware, United States for any dispute arising out of or relating to these Terms or the Service, unless applicable consumer-protection law grants you the non-waivable right to bring the dispute before the courts of your habitual residence.

3. 账户与安全

你可以使用 Google 登录或使用邮箱 + 一次性验证码登录。你有责任维护账户安全并对账户下的一切活动负责。 如怀疑账户被未经授权访问，请立即邮件联系admin@sayveda.com。

你可以在账户页随时注销账户，注销后 7 天内清除额度账本、场景、文章与练习录音，并使所有活跃会话立即失效。

4. 支付与税费

本服务按次计费。当前 1 次 session 额度价格为 5 美元， 包含一份 AI 生成的场景词汇计划及针对同一场景的视频跟读练习。 价格、税费及本地货币换算将在 Paddle 结账页面确认购买前展示。

支付由 Paddle.com Market Ltd. 作为商户结算方 (Merchant of Record) 处理。 Paddle 是发票上的销售方，负责收取适用销售税/增值税/商品服务税并代为缴纳。 购买即视为你接受 Paddle 的《购买者条款》。

退款依照我们的《退款政策》处理。

5. 使用规范

你同意不进行以下行为：

  • 违反任何适用法律或第三方权利地使用本服务；
  • 上传你无权提交的内容，包括受版权保护的作品、他人的非公开个人信息或恶意软件；
  • 在适用法律许可范围之外，尝试对本服务进行反向工程、反编译或提取源代码；
  • 干扰、超载或绕过本服务的限频、身份认证或安全措施；
  • 抓取、镜像或批量下载本服务的页面或 API 响应；
  • 使用本服务生成违法内容、诽谤、涉及未成年人的色情或骚扰性内容；
  • 未经我们书面许可，向第三方转售、再授权或提供本服务。

如我们合理判断你违反上述规则，可暂停或终止你的访问权限。

6. 知识产权

本服务（含代码、设计、品牌、生成输出模板）由 SayVeda 及其许可方所有。 我们授予你有限的、非独占的、不可转让的许可，仅供个人语言学习目的使用本服务。

你保留对自身“内容”的所有权。提交内容即授予 SayVeda 一项全球范围、免版税的许可， 仅用于为你提供服务而对其进行处理、存储、传输与展示 （例如将你的音频发送至 Whisper 转写、将场景描述发送至 Kimi 生成词汇）。

7. 第三方服务与生成输出

本服务依赖第三方 API（Google、Paddle、Resend、Moonshot Kimi、OpenAI/Groq Whisper、AWS）， 其可用性与行为不在我们控制范围内。生成的输出 —— 词汇列表、转写文本、评分 —— 仅为学习辅助， 可能存在错误，不应作为医疗、法律、金融、安全或资格认证等用途的依据。

8. 免责声明

本服务按“现状”和“可获得性”提供。在适用法律允许的最大范围内，我们不作任何明示、默示或法定的保证， 包括但不限于对适销性、特定用途适用性、不侵权，或因交易过程或行业惯例产生的保证。 我们不保证本服务不中断、绝对安全或零错误，亦不保证任何内容准确或可靠。

9. 责任限制

在法律允许的最大范围内，SayVeda 及其管理者、员工和代理人不对任何间接、附带、特殊、结果性或惩罚性损害， 或因使用本服务而产生的利润、收入、数据或商誉损失承担责任。 我们就本条款或本服务产生的任何索赔的累计赔偿责任，不超过下列二者中较高者： (a) 索赔发生前 12 个月内你为本服务支付的金额；或 (b) 50 美元。

某些司法辖区不允许排除或限制特定损害赔偿责任，在这些辖区，我们的责任仅限于法律允许的最低程度。

10. 赔偿

你同意就因你违反本条款、你的“内容”或你滥用本服务而引起的任何索赔、损害、责任或费用 （含合理律师费），为 SayVeda 抗辩、赔偿并使之免受损害。

11. 终止

你可随时停止使用本服务并在账户页注销账户。如你严重违反本条款，我们可暂停或终止你的访问。 依其性质应在终止后仍具效力的条款将继续有效（含知识产权、免责声明、责任限制、赔偿及管辖法律）。

12. 条款变更

我们可能不时更新本条款。实质性修改将反映在页首的“生效日期”上， 必要时会以邮件通知你。修改后继续使用本服务即视为你接受新版条款。

13. 管辖法律

本条款受 Delaware, United States 法律管辖（不含其法律冲突规则）。你与 SayVeda 同意， 因本条款或本服务产生的任何争议均由 Delaware, United States 的法院专属管辖， 除非适用消费者保护法赋予你不可放弃的、在你惯常居所地法院提起诉讼的权利。
